1. Who we are & acceptance of terms
These Terms of Use ("Terms") govern access to and use of the tactico platform and the tactico.ai marketing website (together, the "Services") provided by Tactico Limited ("tactico", "tactico sport", "we", "us", "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Related documents: our Privacy Policy and Cookie Policy, are incorporated by reference.
2. Definitions
- Customer: the club, organisation or other entity that purchases or administers a subscription.
- User: an individual using the platform under a Customer account (e.g., coach, staff).
- Player Data: personal data about players (including youth players) entered by the Customer or Users.
- Website: tactico.ai and associated marketing pages.
- Platform: the logged-in team/club management application.
3. Description of Services
Platform features: roster management, scheduling, match recording, statistics, analytics, and AI-powered insights.
Website features: marketing content, news, updates, and product information.
We may modify, improve or discontinue features from time to time (see §14).
4. Accounts & registration (platform)
- You must provide accurate, complete information and keep it updated.
- Keep credentials confidential; you are responsible for activity under your account.
- You must be authorised to manage any club/team you register.
- Notify us promptly of unauthorised access or suspected security issues.
5. Acceptable use
You must not:
- use the Services unlawfully or in violation of applicable sport, safeguarding, or data-protection rules;
- upload malicious code, interfere with security or integrity, or attempt unauthorised access;
- harvest or scrape data (except as permitted features allow) or spam/harass others;
- misuse AI features (including prompt injection, output laundering, evading safety filters, or reverse engineering).
We may suspend or throttle access to protect the Services or other users (see §15).
6. Player, coach & staff data; roles under data protection law
- Controller role (Customer): Clubs/coaches act as Data Controllers for Player Data and must ensure a lawful basis, provide notices, and obtain valid parental/guardian consent where required. Children should not directly register or access the Platform.
- Processor role (tactico): For Player Data, tactico acts as Data Processor under the Customer's instructions and our DPA.
- We are Controller for Website, account, billing, support and our own marketing data.

7. AI features – important
AI outputs are assistive and may be inaccurate, incomplete or context-limited. They are designed to support, not replace, human coaching judgement. You remain responsible for decisions and compliance.
Do not rely on AI outputs for medical, safeguarding, or other high-risk decisions without appropriate human review. We may use aggregated or anonymised data to improve AI features (never to re-identify individuals).

8. Intellectual property & feedback
- Our IP: The Services (software, AI models, UX, branding, content) are owned by tactico or our licensors. No rights are granted except as expressly stated.
- Your content: You retain ownership of data you submit. You grant us a limited licence to host, process and display it to operate the Services and provide support.
- Feedback: If you provide suggestions or feedback, we may use them without restriction or obligation.
9. Service availability
We aim for high availability but do not guarantee uninterrupted or error-free operation. Maintenance (scheduled or emergency) may occur. We are not responsible for downtime or issues caused by events beyond our reasonable control (see §18).
10. Third-party services & open-source
The Services may interoperate with third-party tools (e.g., analytics, messaging, payment processors). Your use of those tools is subject to their terms and privacy notices. We are not responsible for third-party services we do not control.
The platform may include open-source components under their respective licences.
11. Payment, plans & renewal (platform)
- Plans & fees: Subscription fees and limits are described at signup or in your order form. Taxes (e.g., VAT) may apply.
- Billing: Payments are processed by third-party providers. You authorise recurring charges until cancellation.
- Trials: If a trial is offered, charges begin at the end of the trial unless you cancel beforehand.
- Auto-renewal: Subscriptions renew for the same term unless cancelled per your account settings or order form.
- Price changes: We may update prices on renewal with prior notice.
- Non-payment: We may suspend accounts for overdue amounts; we will retain Customer data for 30 days after suspension for recovery, after which we may delete it.
- Refunds: Fees are non-refundable except where required by law or your order form.
If you sell to consumers, ensure your checkout disclosures satisfy UK consumer/auto-renewal rules.
12. Warranties & disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties (express or implied), including fitness for a particular purpose, non-infringement, and accuracy. AI features are experimental and informational only.
13. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under law.
Subject to the foregoing:
- we are not liable for indirect, incidental, special, consequential or exemplary damages, or loss of profits, revenue, data, goodwill or business interruption; and
- our aggregate liability for all claims arising out of or relating to the Services in any 12-month period is limited to the fees you paid to us for the Services in that period (or £100 if you have no paid subscription).
14. Changes to the Services
We may improve, modify, or discontinue features (including beta features) provided this does not materially degrade core paid functionality during a committed term. Where material changes occur, we will provide reasonable notice.
15. Suspension & termination
- By you: You may cancel your subscription or close your account at any time. Export your data before closure using available tools.
- By us: We may suspend or terminate access for material breach, security risk, non-payment, unlawful use, or to comply with law.
- Data after termination: We will retain Customer data for up to 30 days post-termination for export on request, then delete or archive it per our retention policy and the DPA.
16. Indemnity
You will indemnify and hold harmless tactico (and its officers, employees and contractors) from losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Services (including AI features); or (c) your violation of third-party rights or law.
17. Notices
We may send notices to the email associated with your account or display in-app notices. You may send legal notices to legal@tactico.ai and by post to our Registered Office (above). Notices are deemed received when sent (email) or two business days after posting (UK).
18. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including internet or utility failures, hosting outages, industrial disputes, acts of God, war, terrorism, civil disorder, governmental action, or pandemics.
19. Governing law & jurisdiction
These Terms (and any non-contractual obligations) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
20. Changes to these Terms
We may update these Terms periodically. Material changes will be notified via email, in-app notice, or website update. Continued use after the effective date constitutes acceptance.
21. Severability
If any provision is held unenforceable, the remaining provisions remain in full force and effect.
22. Entire agreement
These Terms, together with the Privacy Policy, Cookie Policy, and DPA (where applicable), constitute the entire agreement between you and Tactico Limited regarding the Services and supersede prior or contemporaneous agreements on the same subject.
