1. Acceptance of Terms

By accessing and using the tactico platform and/or the tactico.ai marketing website (together, the "Services") provided by Tactico Limited ("Company", "we", "our", or "us"), you accept and agree to be bound by these Terms of Use. If you do not agree, you must not use our Services.

2. Description of Services

Our Services provide:

• Platform features: team management tools for football clubs and sports teams, including roster management, training scheduling, match recording, statistics, analytics, and AI-powered tactical insights.
• Website features: marketing content, news, updates, and information about tactico products and services.

We may update or improve the Services from time to time.

3. User Accounts and Registration (Platform Only)

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorised use of your account.
• You must be authorised to manage the team/club you register.
• You are responsible for all activities carried out under your account.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes.
• Upload or share malicious code, viruses, or other harmful material.
• Attempt to gain unauthorised access to our systems.
• Harass, abuse, or spam other users.
• Misuse AI features (including attempting to extract underlying models or generate harmful, offensive, or unlawful content).

5. Player, Coach, and Staff Data

• Controller Role: Clubs and coaches act as data controllers for player and youth information entered into the platform. They are responsible for ensuring lawful collection, including obtaining parental/guardian consent where required.
• Processor Role: Tactico acts as a data processor on behalf of clubs to store and process this information securely.
• Children's Data: We do not knowingly collect data directly from children. Clubs/coaches must not permit children to register or access the Services directly.

6. AI Features – Important Information

• Our platform includes AI-powered insights and recommendations. These features are designed to support, not replace, human coaching judgment.
• AI outputs may not always be accurate, complete, or suitable for every situation. You remain responsible for decisions made using AI insights.
• We may use anonymised or aggregated data to train, refine, and improve our AI systems, but never in a way that identifies individuals.
• You must not attempt to misuse AI features (e.g. prompt injection, reverse engineering).

7. Intellectual Property

• Our Rights: The Services, including software, AI models, branding, and original content, are owned by Tactico Limited. You may not reproduce, modify, or distribute our content without permission.
• Your Content: You retain ownership of the data you input. You grant us a limited licence to process and store it for the purposes of providing the Services.

8. Service Availability

• We aim for high availability but cannot guarantee uninterrupted access.
• Scheduled maintenance will be communicated where possible.
• We are not liable for downtime outside our reasonable control.

9. Payment and Subscription (Platform Only)

• Subscription fees are set out in your service plan.
• Payments are handled securely by third-party providers.
• Fees are non-refundable except as required by law.
• Accounts may be suspended for overdue payments. Data will be retained for 30 days after suspension for recovery.

10. Limitation of Liability

To the maximum extent permitted by law:

• We provide the Services "as is" without warranties of accuracy, reliability, or fitness for purpose.
• AI features are experimental and informational only; we are not responsible for reliance on AI outputs.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to the amount paid for the Services in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Tactico Limited from claims, losses, or damages arising from:

• Your use or misuse of the Services.
• Your breach of these Terms.
• Your violation of any third-party rights, including privacy and data protection.

12. Termination

• By You: You may terminate your account at any time. Data export tools are available before closure.
• By Us: We may suspend or terminate your access if you breach these Terms, fail to pay, or engage in harmful activity.
• Some data may be retained as required by law.

13. Governing Law

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email, platform notice, or website update. Continued use of the Services after changes constitutes acceptance.

15. Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.
